1 Acceptance of Terms

By accessing or using the EdPayU platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

  • These Terms constitute a legally binding agreement between you ("User", "you", or "your") and EdPayU ("Company", "we", "us", or "our").
  • You must be duly authorised by your educational institution to create an account and use the Service on behalf of that institution.
  • By creating an account, you represent and warrant that you have the authority to bind your institution to these Terms.
  • If you are accessing the Service as a teacher, student, or parent, your access is governed by the terms agreed to by your institution's administrator.

2 Description of Service

EdPayU is a cloud-based, AI-powered education management platform designed for Indian educational institutions, including schools, colleges, coaching centres, tuition classes, training institutes, and universities.

  • Attendance management -- period-wise and subject-wise tracking with real-time parent notifications.
  • Fee management -- UPI, card, and net banking payments via Razorpay with automated receipt generation.
  • Exam and report card management -- marks entry, grading, and PDF report card generation for CBSE, ICSE, State Board, and custom schemes.
  • Communication -- WhatsApp and SMS-based messaging between institution staff and parents.
  • Homework, timetable, certificates, admissions, HR and payroll, transport management, and other modules as made available from time to time.
  • AI-powered chatbot -- natural language queries for attendance, fees, performance, and administrative data.

The Service is provided on an "as-is" and "as-available" basis. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

3 User Accounts

  • User accounts are created by the institution administrator (Principal, Director, or authorised personnel). Individual teachers, students, and parents are onboarded by the institution.
  • Authentication is performed via OTP (One-Time Password) sent to your registered mobile number. You are solely responsible for maintaining the confidentiality of your OTP and account credentials.
  • You must provide accurate, current, and complete information during registration and keep your account information updated at all times.
  • You are responsible for all activities that occur under your account. Notify us immediately at legal@edpayu.com if you suspect any unauthorised access.
  • We reserve the right to suspend or terminate accounts that contain inaccurate information or that are used in violation of these Terms.

4 Acceptable Use

You agree to use the Service only for legitimate educational management purposes. Specifically, you shall not:

  • Use the Service for any unlawful purpose or in violation of any applicable law, including but not limited to the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.
  • Misuse, sell, share, or otherwise exploit student, parent, or staff personal data for purposes unrelated to educational administration.
  • Attempt to gain unauthorised access to the Service, other user accounts, or our servers and systems through hacking, password mining, or any other means.
  • Upload, transmit, or distribute any malicious software, viruses, worms, or any code of a destructive nature.
  • Use the Service for commercial data mining, scraping, harvesting, or any form of data extraction beyond normal platform usage.
  • Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
  • Impersonate any person or entity or falsely represent your affiliation with any person or entity.

5 Payment Terms

  • Subscription model: EdPayU operates on a subscription-based pricing model. Plans include a free tier (up to 50 students), Growth, and Pro tiers. Pricing details are available on our website and may be updated from time to time.
  • Payment processing: All payments are processed securely through Razorpay Payment Gateway. By making a payment, you also agree to Razorpay's terms of service. Transaction charges levied by Razorpay (approximately 2% per transaction) are borne as per the applicable plan terms.
  • Billing cycle: Subscription fees are billed monthly or annually, as selected by the institution at the time of subscription. Fees are due at the beginning of each billing cycle.
  • Refund policy: Pro-rated refunds are available within 30 days of payment for annual subscriptions. Monthly subscriptions are non-refundable once the billing cycle has commenced. Refund requests must be submitted to legal@edpayu.com.
  • Fee collection compliance: Institutions using EdPayU's fee collection module are solely responsible for compliance with all applicable regulations governing fee collection from students and parents, including state-specific fee regulation orders.
  • Taxes: All prices are exclusive of applicable taxes including GST, unless stated otherwise. You are responsible for paying all taxes associated with your use of the Service.

6 Data Ownership

  • Institution data: All data entered, uploaded, or generated by an institution and its users (student records, attendance data, fee records, exam results, etc.) remains the sole property of the institution ("Institution Data").
  • Data processor role: EdPayU acts as a data processor on behalf of the institution (the data controller) as defined under the Digital Personal Data Protection Act, 2023. We process Institution Data solely for the purpose of providing the Service.
  • Data export: Institutions may export their data at any time through the platform's built-in export functionality in standard formats (CSV, PDF).
  • Post-termination data: Upon termination of the Service, Institution Data will be available for export for a period of 30 (thirty) days. After this period, we will securely delete all Institution Data from our servers, unless retention is required by applicable law.
  • Aggregated data: We may use anonymised, aggregated data (which does not identify any individual or institution) for analytical purposes, product improvement, and industry benchmarking.

7 Intellectual Property

  • EdPayU IP: The EdPayU platform, including its source code, design, architecture, algorithms, AI models, user interface, documentation, brand name, logo, and all related intellectual property, is and shall remain the exclusive property of EdPayU and its licensors.
  • Institution content: Institutions retain full ownership of all content they upload or create on the platform, including logos, circulars, notices, and other institutional materials.
  • Limited licence: We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service strictly in accordance with these Terms for the duration of your subscription. This licence does not permit you to copy, modify, distribute, sell, or lease any part of the Service.
  • Feedback: Any suggestions, ideas, or feedback you provide regarding the Service may be used by EdPayU without any obligation of compensation or attribution to you.

8 Service Availability

  • Uptime target: We aim to maintain 99.5% uptime for the Service, measured on a monthly basis, excluding scheduled maintenance windows.
  • Planned maintenance: Scheduled maintenance will be communicated at least 48 hours in advance via email or in-app notification. We will endeavour to schedule maintenance during off-peak hours (typically between 12:00 AM and 5:00 AM IST).
  • Force majeure: We shall not be liable for any downtime, service interruption, or performance degradation caused by events beyond our reasonable control, including but not limited to natural disasters, government actions, internet outages, cyberattacks, or failures of third-party infrastructure providers.
  • Support: Technical support is available via WhatsApp and email during business hours. Pro plan subscribers receive priority phone support with a dedicated account manager.

9 Limitation of Liability

  • Maximum liability: To the fullest extent permitted by applicable law, EdPayU's total cumulative liability to you for any and all claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to EdPayU during the 12 (twelve) months immediately preceding the event giving rise to the claim.
  • Exclusion of damages: In no event shall EdPayU be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, loss of goodwill, or cost of procurement of substitute services, regardless of the cause of action or the theory of liability.
  • Third-party services: EdPayU shall not be liable for any failures, errors, or interruptions in third-party services integrated with the platform, including but not limited to Razorpay (payment processing), MSG91 (SMS delivery), WhatsApp Business API, or cloud hosting providers.
  • Data accuracy: While we take reasonable measures to ensure data integrity, EdPayU shall not be held liable for errors in data entered by users of the platform. Institutions are responsible for verifying the accuracy of their data.

10 Termination

  • Termination by institution: You may terminate your subscription at any time by providing 30 (thirty) days' written notice to legal@edpayu.com. Upon termination, your access to the Service will cease at the end of the current billing cycle.
  • Termination by EdPayU: We may terminate or suspend your access to the Service with 30 (thirty) days' notice if we discontinue the Service or if your account is inactive for more than 12 (twelve) consecutive months.
  • Suspension for violation: We may immediately suspend your access to the Service without prior notice if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or pose a security risk to the platform or other users.
  • Data after termination: Following termination, your Institution Data will remain available for export for 30 (thirty) days. After this period, all data will be permanently deleted from our servers in accordance with Section 6.
  • Survival: Sections relating to Data Ownership, Intellectual Property, Limitation of Liability, Indemnification, and Governing Law shall survive any termination or expiration of these Terms.

11 Governing Law & Dispute Resolution

  • Governing law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
  • Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall first be attempted to be resolved through mutual negotiation. If the dispute is not resolved within 30 (thirty) days, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, and the seat of arbitration shall be Bangalore, Karnataka, India.
  • Jurisdiction: Subject to the arbitration clause above, the courts of Bangalore, Karnataka, India shall have exclusive jurisdiction over any disputes arising from these Terms.
  • Language: All arbitration proceedings and communications shall be conducted in the English language.

12 Indemnification

You agree to indemnify, defend, and hold harmless EdPayU, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use or misuse of the Service.
  • Your violation of these Terms or any applicable law or regulation.
  • Your violation of any rights of a third party, including intellectual property rights or privacy rights.
  • Any data entered or uploaded by you or your institution's users that is inaccurate, unlawful, or infringing.
  • Any claim by a student, parent, or staff member arising from the institution's use of the Service.

13 Changes to Terms

  • We reserve the right to modify, update, or replace these Terms at any time. Material changes will be communicated to registered institution administrators via email and/or in-app notification at least 30 (thirty) days before the changes take effect.
  • The updated Terms will also be posted on this page with a revised "Last Updated" date.
  • Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms.
  • If you do not agree with the modified Terms, you must discontinue your use of the Service before the changes take effect and may request termination in accordance with Section 10.
